Article 1 – Definitions

In these general terms and conditions, the following terms shall have the meanings ascribed to them below:

Entrepreneur:
VIA VIA Studios, located in Boskoop, registered with the Chamber of Commerce under number 95928308.

Consumer:
The natural person who is not acting in the exercise of a profession or business.

Agreement:
Any agreement concluded between VIA VIA Studios and the consumer concerning the purchase of products or services.

Product:
All products offered through the webshop or directly, including but not limited to:

  • original paintings;
  • commissioned artworks;
  • other art-related products.

Commissioned Work:
An artwork specially designed or created at the consumer's request according to their wishes.

In writing:
"In writing" also includes communication by e-mail.

Article 3 – Applicability

  1. These general terms and conditions apply to every offer made by VIA VIA Studios and to every agreement concluded between VIA VIA Studios and a consumer.
  2. By placing an order, the consumer declares to have read and agreed to these general terms and conditions.
  3. Deviations from these general terms and conditions are only valid if confirmed in writing by VIA VIA Studios.
  4. If one or more provisions of these terms and conditions are wholly or partially void or are annulled, the remaining provisions shall remain in full force and effect.

Article 4 – The offer

  1. VIA VIA Studios takes the utmost care to ensure a correct and complete representation of the products offered.
  2. All paintings are original, handmade artworks. Minor differences in texture, brushstrokes, sheen, material use, and finish are part of the character of the work and do not constitute a defect.
  3. The colors of an artwork may differ slightly on a screen from the actual colors due to differences in screen settings, resolution, and lighting conditions. VIA VIA Studios cannot be held liable for this.
  4. Dimensions of artworks are stated as accurately as possible. Minor deviations due to manual measurements are possible.
  5. Obvious mistakes, typing errors, or errors in images, prices, or descriptions do not bind VIA VIA Studios.
  6. If an offer has a limited validity period or is offered under specific conditions, this will be clearly stated.

Article 5 – The agreement

  1. The agreement comes into effect at the moment the consumer places an order and this order has been confirmed by VIA VIA Studios.
  2. Upon receipt of the order, the consumer will receive a confirmation by e-mail.
  3. VIA VIA Studios reserves the right to refuse an order or to attach additional conditions if there is a valid reason for doing so, for example when:
  • incorrect data has been provided;
  • payment is not made;
  • there is fraud or abuse;
  • delivery is not reasonably possible.
  1. If VIA VIA Studios cannot execute an order, the consumer will be informed of this as soon as possible. Any amounts already paid will be fully refunded in such cases.

Article 6 – Right of withdrawal

6.1 Original paintings

  1. When purchasing an original painting, the consumer has the right to withdraw from the agreement within 14 days without stating reasons.
  2. This cooling-off period commences on the day after the artwork has been received by the consumer or a third party designated by him.
  3. During the cooling-off period, the consumer must handle the artwork with care. The work may only be inspected as would be possible in a gallery.

6.2 Commissioned works

  1. For paintings specially made to order for the consumer, there is no right of withdrawal.
  2. Commissioned works are made based on individual wishes and fall under the legal exception for custom-made goods.

6.3 Exercising the right of withdrawal

  1. If the consumer wishes to exercise the right of withdrawal, this must be reported to VIA VIA Studios in writing or by e-mail within the statutory period.
  2. After notification, the artwork must be returned within 14 days at the latest.
  3. The artwork must be:
  • complete;
  • undamaged;
  • carefully packaged;
  • returned in its original packaging if reasonably possible.
  1. The direct costs of the return shipment are for the consumer, unless otherwise agreed in writing.
  2. If a return shipment is damaged because it was insufficiently packaged, VIA VIA Studios may deduct the resulting depreciation from the amount to be refunded.
  3. 6.4 Refund

    1. After receipt and inspection of the returned artwork, VIA VIA Studios will refund the purchase amount within 14 days at the latest, using the same payment method used for the original payment.
    2. VIA VIA Studios may wait with repayment until the artwork has been received or until the consumer has demonstrated that the artwork has been shipped.

    Article 7 – Delivery and execution

    7.1 General

    1. VIA VIA Studios will process and package every order with the utmost care.
    2. Delivery takes place at the delivery address provided by the consumer, unless otherwise agreed in writing.
    3. The stated delivery times are indicative. Exceeding a delivery time does not entitle the consumer to compensation or dissolution of the agreement, unless the exceeding is such that the consumer cannot reasonably be expected to maintain the agreement.

    7.2 Delivery of original paintings

    1. Original paintings are fragile artworks and are therefore carefully packaged and shipped.
    2. After receiving the order, VIA VIA Studios will contact the consumer personally to arrange the delivery. This ensures the consumer knows in advance when the artwork will be delivered.
    3. VIA VIA Studios reserves the right to use a specialized carrier or personal delivery if this is desirable for safe delivery.

    7.3 Collection

    1. The consumer can choose to collect an order free of charge in Boskoop.
    2. Collection only takes place by appointment.

    7.4 International shipping

    1. Delivery outside the Netherlands is only possible after prior consultation.
    2. VIA VIA Studios reserves the right to refuse an international order if no suitable or safe shipping method is available.

    7.5 Risk during transport

    1. The risk of loss or damage to an order remains with VIA VIA Studios until the artwork has been delivered to the consumer or a third party designated by him.

    Article 8 – Shipping damage

    1. The consumer is requested to check the package for visible damage immediately upon receipt.
    2. If there is shipping damage, the consumer must report this to VIA VIA Studios in writing within 48 hours of receipt at the latest.
    3. The notification should, if possible, include clear photos of:
    • the exterior of the packaging;
    • any damage to the packaging;
    • the opened package;
    • the damaged artwork.
    1. VIA VIA Studios will assess the report as soon as possible and work with the consumer to find a suitable solution.

    Article 9 – Prices and payment

    1. All prices on the website are stated in euros and include VAT, unless explicitly stated otherwise.
    2. Any shipping costs will be clearly displayed before completing the order.
    3. Payment must be made using the payment methods offered during the ordering process.
    4. VIA VIA Studios remains the owner of the delivered artwork until the full purchase price has been paid.

    Commissioned works

    1. For commissioned works, a down payment of 35% of the agreed total amount is required.
    2. The execution of the commission starts after the down payment has been received.
    3. The remaining amount must be paid in full before the artwork is shipped or collected.
    4. If the consumer cancels a commissioned work after work has started, the down payment will not be refunded.

    Article 10 – Commissioned works

    1. A commissioned work is an artwork specially created according to the consumer's wishes.
    2. VIA VIA Studios discusses the desired dimensions, colors, appearance, and other wishes in advance.
    3. During the process, VIA VIA Studios may send photos or updates to show progress.
    4. One revision round is included in the agreed price.
    5. Further changes can only take place in consultation and may incur additional costs.
    6. The stated delivery times for commissioned works are indicative. The final delivery time depends on, among other things, drying time, materials used, and the complexity of the artwork.
    7. No right of withdrawal applies to commissioned works in accordance with Article 6 of these general terms and conditions.

    Article 11 – Warranty and conformity

    1. VIA VIA Studios guarantees that the delivered products comply with the agreement, the stated specifications, and the reasonable requirements of soundness that can be expected at the time of delivery.
    2. The statutory warranty as referred to in the Dutch Civil Code remains fully applicable.
    3. Because all paintings are handmade, minor differences in texture, material, sheen, relief, brushstrokes, and finish may occur. These characteristics belong to the unique nature of the artwork and are not considered a defect.
    4. Natural aging of materials, slight discoloration due to sunlight, or normal wear and tear from use are not covered by the warranty.
    5. Damage caused by incorrect use, careless transport after delivery, incorrect installation, moisture, extreme temperatures, direct sunlight, or other external influences is not covered by the warranty.

    Article 12 – Liability

    1. The liability of VIA VIA Studios is limited to what is legally required.
    2. VIA VIA Studios is only liable for direct damage that is the direct result of an attributable shortcoming in the performance of the agreement.
    3. VIA VIA Studios is not liable for indirect damage, including consequential damage, loss of profit, missed savings, or immaterial damage, unless there is intent or willful recklessness.
    4. VIA VIA Studios is not liable for damage resulting from incorrect hanging or mounting of an artwork. The consumer is responsible for using suitable mounting materials and safe installation.
    5. If the liability of VIA VIA Studios is established, it is limited to a maximum of the amount paid for the relevant product, unless the law stipulates otherwise.

    Article 13 – Intellectual property and copyright

    1. All intellectual property rights relating to the artworks, images, designs, photos, texts, and other content of VIA VIA Studios remain the property of VIA VIA Studios.
    2. By purchasing an artwork, the consumer only acquires ownership of the physical artwork. The copyright remains fully with VIA VIA Studios.
    3. Without prior written permission from VIA VIA Studios, it is not permitted to:
    • commercially reproduce the artwork;
    • use images of the artwork for commercial purposes;
    • make the artwork public in a way that infringes copyright.
    1. Sharing photos of a purchased artwork on social media for personal use is, of course, allowed and appreciated.

    Article 14 – Certificate of authenticity

    1. Original paintings, if indicated by VIA VIA Studios, are supplied with a certificate of authenticity.
    2. The certificate confirms that the artwork is an original work by VIA VIA Studios.
    3. Loss or damage of the certificate does not automatically entitle the holder to a new certificate.

    Article 15 – Complaints

    1. VIA VIA Studios strives for high quality in products and services.
    2. Complaints must be reported in writing within a reasonable time after discovery via hello@viaviastudios.com.
    3. The complaint must contain a clear description of the problem and, if applicable, be accompanied by photos.
    4. VIA VIA Studios will confirm receipt of a complaint as soon as possible and aims to provide a substantive response within 14 days.
    5. If more time is needed to process the complaint, the consumer will be informed of this in good time.

    Article 16 – Force majeure

    1. VIA VIA Studios is not obliged to fulfill any obligation if this is reasonably impossible due to force majeure.
    2. Force majeure includes, but is not limited to:
    • fire;
    • flood;
    • extreme weather conditions;
    • illness;
    • pandemics;
    • strikes;
    • disruptions at carriers;
    • government measures;
    • failure of suppliers;
    • other circumstances over which VIA VIA Studios cannot reasonably exert influence.
    1. During the period of force majeure, the obligations of VIA VIA Studios are suspended.
    2. If the force majeure situation lasts longer than sixty days, both parties have the right to terminate the agreement in writing, without being liable for damages.

    Article 17 – Applicable law and disputes

    1. Dutch law applies exclusively to all agreements between VIA VIA Studios and the consumer.
    2. Disputes will exclusively be submitted to the competent Dutch court, unless mandatory law dictates otherwise.
    3. Parties will endeavor to resolve a dispute amicably before initiating legal proceedings.

    Article 18 – Final provisions

    1. If one or more provisions of these general terms and conditions prove to be wholly or partially invalid or unenforceable, the remaining provisions shall remain in full force and effect.
    2. VIA VIA Studios reserves the right to amend these general terms and conditions.
    3. For agreements already concluded, the general terms and conditions that were in force at the time of concluding the agreement remain applicable, unless the law stipulates otherwise.
